BY-LAWS OF THE USC COLLEGE FACULTY ASSOCIATION
ARTICLE I. NAME AND PRINCIPAL OFFICE
Section 1. The name of this association shall be the USC College Faculty Association.
Section 2. The principal place of business of the Association shall be in the University of San Carlos, Cebu City, Philippines.
ARTICLE II. OBJECTIVES
Section 1. General Objective: To establish an organization that will promote the general welfare and interests of the college faculty members of the University of San Carlos.
Section 2. Specific Objectives.
- To have the Christ-saving presence be felt in and outside the University.
- To foster harmonious relationships within the University and the Community.
- To afford protection to all its members promote, and ameliorate their economic well-being and ensure equal work opportunities regardless of sex, age, creed, or employment status.
- To develop professionalism, intellectual growth and academic efficiency.
- To develop the physical well-being of the members.
- To provide a means of mutual aid among the members.
ARTICLE III. FISCAL YEAR
Section 1. The fiscal year of the Association shall begin on the first day of July and shall end on the last day of June of the following year.
ARTICLE IV. MEMBERSHIP AND RIGHTS OF MEMBERS
Section 1. Membership is automatic for all faculty members unless they decline membership in writing. Membership ceases upon retirement, separation, resignation, and dismissal from the service for just cause. Expulsion of a member shall be decided upon by the Board of Trustees after due process without prejudice to a motion for consideration or an appeal to the assembly.
Section 2. A Member who has complied with the provision of Article V hereof is a member of good standing. He shall be entitled to vote and be voted for in any election in accordance with the provisions on ARTICLE VI.
Section 3. Retired members will receive a mortuary aid as provided in article V if they had had 10 years of accumulated membership.
ARTICLE V. FEES AND MUTUAL BENEFITS
Section 1. All members shall pay P20 (twenty-pesos) monthly or P240 (two hundred forty pesos) annually in two installments: P100 in September, and P140 in December.
Section 2. Each member of the Association shall pay the amount of fifty pesos (P50.00) as aid to the family of a deceased member. The amount of twenty pesos (P20.00) shall be contributed as aide to a member in case of death of an immediate member of his/her family which includes the spouse, child, father, and Assessment shall be deductible from salary.
- Upon the death of a member of good standing for at least 3 (three) years, the heirs/beneficiaries shall receive P30,000 of 600 in the 2 regular semesters, immediately preceding the death of the member of good standing.
- Upon the death of an immediate family, the member of good standing for at least 3 (three) years, shall receive P12,000 (twelve thousand) as aid, in accordance with the previously-stated membership average.
- Members of good standing for less than 3 (three) years are entitled to the half benefits: P15,000 upon their death; P6,000 for their immediate family, still following the membership provision in b and c.
Section 3. A separate mortuary fund shall be set up to be exclusively for this purpose.
Section 4. Retire members of the faculty who are still connected with the faculty shall continue to be members of the CFA.
ARTICLE VI. BOARD OF TRUSTEES
Section 1. The Board of Trustees shall constitute the governing body of the USC College Faculty Association subject to the authority of the general assembly of members.
Section 2. The Board of Trustees shall be composed of fifteen (15) members who shall be elected by the General Assembly. Each college shall have at least one representative. (EXCEPT FOR THE COLLEGES OF LIBERAL ARTS, COMMERCE AND ENGINEERNIG WHICH WILL HAVE THREE REPRESENTATIVES each. THE OTHER COLLEGES WILL HAVE A REPRESENTATIVE each.)
- A member of the BOARD shall have at least a three-year CFA membership of good standing, either part-time or full time preceding the election.
- The immediate past President shall be an ex-officio member of the Board of Trustees.
Section 3. The members of the Board of Trustees shall elect from among themselves the officers of the Association. It may also elect any member of the Association, not necessarily a member of the Board to be Assistant Secretary, Assistant Treasurer, and Adviser.
The President and Executive Vice-President, at the time of election, must not hold any administrative position (chairperson, dean, director, assistantship to any of these positions); or any higher position that may be created.
Section 4. The Board of Trustees shall have a term of two years commencing on the first day of July (FOURTH), except the first Board which will hold office from the day they are elected until the end of their term or until their successors are duly elected and qualified. Of the first Board elected, the eight trustees who obtain the highest number of votes shall serve for two years, while the next seven shall serve for one year. Thereafter, the election shall be held annually for the corresponding numbers of seats.
ARTICLE VII. OFFICERS
Section 1. The principal officers of the Association shall be a President, an Executive Vice-President, three sectoral Vice-Presidents (one for each campus), Secretary, Treasurer, Auditor, and Mass Media Officer.
Section 2. The President who must be a member of the Board of Trustees shall preside at all meetings and deliberations of the Association and of the Board of Trustees. He/She shall be an ex-officio member of all committees and shall perform all other duties as usually pertain to the office of the President.
Section 3. The Executive Vice-President must also be a member of the Board of Trustees and shall assume the responsibilities and duties of the President in the absence, death or disability of the latter. He/She shall act and perform such duties as such may be assigned to him by the President or by the Board of Trustees.
Section 4. The sectoral Vice-Presidents shall represent in the deliberations of the Board of Trustees the concerns of their respective constituent groups. They shall act and perform such duties as may be assigned to them by the President or by the Board of Trustees.
Section 5. The Secretary who must be a citizen and resident of the Philippines shall keep a record of all the minutes of the meetings of the Association and of the Board of Trustees. He/She shall be the custodian of the seal and all records, documents and papers of the Association. He shall certify all records and documents issued in behalf of the Association.
Section 6. The Treasurer shall receive and keep in deposit for the Association all fees and contributions from the members as well as any and all accounts payable or due to the Association from whatever source. He/She shall take custody of all funds, property and accounts of the Association; render financial or property reports at the end of his/her term and periodically as may be necessary; and shall perform such other duties as the Board of Trustees may assign to him/her. His/Her authorization for disbursements through vouchers and checks shall be made jointly with the President or in the latter’s absence, death or incapacity, the Executive Vice-President. He shall be bonded and with sureties as the Board of Trustees may determine.
Section 7. The Auditor shall audit all the accounts of the Association at the end of each semester, shall examine its books as may be necessary, and shall certify an annual audited report to the Board of Trustees and the members of the Association.
Section 8. To provide coverage for the dissemination of information about the activities of the Board of Trustees to the members of the Association, the mass Media Officer shall edit an information bulletin for the members. He/She shall also endeavor to inform those outside of the Association through periodic media releases or information bulletins about the worth-while undertakings of the Association. He/She shall also perform such other duties as may be assigned to him by the President and the Board of Trustees.
Section 9. The Assistant Secretary and Assistant Treasurer shall perform such duties as may be assigned to them by the Secretary or Treasurer as the case may be, shall act as Secretary or Treasurer in case of inability, absence or death of the Secretary or Treasurer. They shall perform such other duties as may be assigned by the Board of Trustees.
Section 10. Al officers shall make a permanent record of their work and shall turn it over to their successors at the expiration of their term of office. They shall also render a report at the annual general meeting.
ARTICLE VIII. MEETINGS AND ELECTION
Section 1. The members of the Association shall conduct an annual meeting and other meetings as the Board of Trustees may decide to convene for special and specific purposes.
Section 2. The election of the members of the Board of Trustees shall take place at a General Annual Meeting to be held on any school day after 2 weeks following the mid-term exams.
Section 3. A majority of the members in good standing present or by the proxy at on annual meeting or special meeting of the Association shall constitute a quorum, except in those cases where the law provides a greater number.
Signed proxies must be submitted to the Secretary at least two days prior the scheduled meeting.
Section 4. The meetings of the Board of Trustees shall be held monthly at a time agreed upon by the Board members. In the absence, death, or disability of the President, the following officers may call for a meeting and preside over it in the order stated below:
- Executive Vice -President
- One of the three Sectoral Vice-Presidents
- Secretary
Section 5. A majority of the Board of Trustees shall constitute a quorum to transact business, and a majority of such quorum duly assembled as a Board shall be valid as a corporate act except in the election of officers which requires a vote of a majority of all the members of the Board.
ARTICLE IX. RULES OF PROCEDURE
Section 1. On questions of parliamentary procedure not covered by these By-Laws, Robert’s Rules of Order shall be observed.
ARTICLE X. AMENDMENT
These By-laws may be amended or repealed and new By-Laws may be adopted by a majority vote of the Board of Trustees and a majority vote of the Board of Trustees and a majority vote of the members of the Association at its annual meeting or at any special meeting called for this purpose.
ARTICLE XI. EFFECTIVITY
These By-Laws shall take effect upon its ratification by a majority of all votes cast during the general assembly held on October 1, 2001.
ARTICLE XII. TRANSITORY PROVISION
All of the incumbent officers and members of the Board of Trustees of the USC College Faculty Association Inc. for the year 2007-2008 shall continue to perform their duties and responsibilities until the Trustees – elect under this by-laws shall have assumed their respective offices or positions the following year.
